TERMS OF SERVICE

These Terms of Service (“Terms”) constitute a legally binding agreement between you (“Customer”, “you”, or “your”) and Artech Global Pte., Ltd. (“Artech”, “we”, “us”, or “our”) governing your access to and use of Artech’s website, software applications, APIs, and subscription-based services (collectively, the “Services”).

By accessing or using the Services, you acknowledge that you have read, understood, and agreed to be bound by these Terms.

1. Definitions

  • “Account” means the user account registered to access the Services.

  • “Customer Data” means all data submitted, uploaded, or generated through the Services by or on behalf of the Customer.

  • “Subscription Plan” means the pricing tier and usage limits selected by the Customer.

  • “Order” means an online checkout, order form, or written agreement specifying subscription details.

2. Eligibility & Account Responsibilities

  • You must be at least 18 years old and legally capable of entering into a binding contract.

  • If you use the Services on behalf of an organization, you represent that you have authority to bind such organization.

  • You are responsible for:

    • Maintaining the confidentiality of your Account credentials

    • All activities conducted under your Account

  • Artech is not responsible for unauthorized access resulting from your failure to safeguard credentials.

  • 3. Scope of Services

  • Artech provides cloud-based software services accessible via the internet.

  • Features, storage limits, API access, usage thresholds, and support levels vary by Subscription Plan.

  • Artech may update, enhance, or modify the Services to improve performance, security, or functionality.

  • Artech does not guarantee that any specific feature will remain available indefinitely.

4. Subscription Plans & Ordering

  • Subscriptions are offered on a recurring basis (monthly, annual, or otherwise specified).

  • Subscription details, pricing, and billing cycles are set forth at checkout or in an Order.

  • You may upgrade or downgrade your Subscription Plan subject to plan-specific terms.

  • Changes to subscription pricing will apply at the next renewal period, unless otherwise required by law.

5. Fees, Taxes & Payment

  • All fees are stated exclusive of taxes unless otherwise specified.

  • You are responsible for all applicable taxes, duties, or government charges.

  • Payments are processed via third-party payment processors.

  • Artech reserves the right to:

    • Suspend access for failed or overdue payments

    • Charge interest or late fees where permitted by law

  • Except as required by law, all fees are non-refundable, including unused portions of a subscription.

6. Automatic Renewal & Cancellation

  • Subscriptions automatically renew at the end of each billing cycle unless canceled prior to renewal.

  • You may cancel at any time via your Account or by contacting support.

  • Cancellation:

    • Takes effect at the end of the current billing period

    • Does not entitle you to a refund for unused time

7. Acceptable Use Policy

You agree not to:

  • Use the Services in violation of any applicable law or regulation

  • Upload malware, spyware, or malicious code

  • Attempt to gain unauthorized access to systems or data

  • Reverse engineer, copy, resell, sublicense, or exploit the Services

  • Use the Services to infringe intellectual property or privacy rights

Artech may suspend or terminate access for violations without liability.

8. Customer Data & Data Protection

  • You retain ownership of all Customer Data.

  • You grant Artech a limited license to process Customer Data solely to provide the Services.

  • Artech processes personal data in accordance with:

    • The Privacy Policy

    • Applicable data protection laws

  • For Business Customers, Artech acts as a data processor, as described in the Privacy Policy and any applicable Data Processing Addendum (DPA).

9. Confidentiality

  • Each party may receive confidential or proprietary information of the other.

  • Confidential Information shall not be disclosed to third parties except:

    • As required to provide the Services

    • As required by law

  • These obligations survive termination of the Services.

10. Security & Compliance

  • Artech implements industry-standard technical and organizational security measures.

  • While Artech takes reasonable steps to protect data, no system is completely secure.

  • You acknowledge and accept the inherent risks of internet-based services.

11. Service Availability & Support

  • Artech aims to provide reliable service availability but does not guarantee uninterrupted operation.

  • Maintenance, updates, or outages may occur.

  • Support response times and service levels vary by Subscription Plan and published support policies.

12. Term & Termination

12.1 Term

These Terms remain in effect while you maintain an active Account or subscription.

12.2 Termination by Customer

You may terminate by canceling your Account at any time.

12.3 Termination by Artech

Artech may suspend or terminate access immediately if:

  • You breach these Terms

  • Required by law or authority

  • Necessary to protect the integrity or security of the Services

13. Effects of Termination

Upon termination:

  • Your access to the Services ceases

  • Customer Data may be deleted in accordance with the Privacy Policy

  • Outstanding payment obligations remain due

14. Intellectual Property Rights

  • Artech retains all rights, title, and interest in the Services and underlying technology.

  • No rights are granted except as expressly stated.

  • Feedback provided by you may be used by Artech without restriction or obligation.

15. Disclaimer of Warranties

The Services are provided “as is” and “as available.”
To the maximum extent permitted by law, Artech disclaims all warranties, whether express or implied.

16. Limitation of Liability

To the maximum extent permitted by law:

  • Artech shall not be liable for indirect, incidental, or consequential damages.

  • Artech’s total aggregate liability shall not exceed the fees paid by you to Artech in the 12 months preceding the claim.

17. Indemnification

You agree to indemnify and hold harmless Artech from claims arising out of:

  • Your use of the Services

  • Your violation of these Terms

  • Your violation of applicable laws or third-party rights

18. Governing Law & Jurisdiction

These Terms shall be governed by the laws of Singapore.
The courts of Singapore shall have exclusive jurisdiction unless otherwise agreed in writing.

19. Modifications

Artech may update these Terms from time to time.
Continued use of the Services constitutes acceptance of the updated Terms.

20. Entire Agreement

These Terms, together with the Privacy Policy and any applicable DPA, constitute the entire agreement between you and Artech regarding the Services.
